Even today you may become a part of a craft brewery which devised an innovative technology and is dynamically developing. Thanks to long-term experience, knowledge of the sector and the consistent efforts Browar Za Miastem is rapidly growing. Members of Company’s Management Board have been active in the brewing sector for more than 15 years and the main brewer – for 40 years! Our products are available in chain supermarkets, such as Auchan, Carrefour, Lidl, catering business and specialist stores.


Purpose

Equipping the brewery under construction and acceleration of company’s development.

Our adventure with brewing started as early as in the 70s of the 20th century when our brewer started his work in the brewery. Both founders of the company started the work in the sector in the 90s where they gained enormous business experience. Dreams about our own brewery appeared in 2006. The first beer was produced at the beginning of 2017. Since then we have been operating in the contract formula, devising recipes, buying raw materials, cooperating with a few breweries.
Own brewery is a natural development direction for contract breweries. A similar trend is visible on the most developed craft beer market, namely in the USA. A share in the contract brewery market in this country in 15 years dropped from 20% to 1%. Such companies which started production in their own breweries develop dynamically.

Investment goals

Our investment involves the construction of the brewery and purchase of production facilities. So far we have bought the real estate, drafted the construction and executive design and obtained necessary permissions. The construction is starting in September 2020! Thanks to our own brewery we will gain independence and flexibility. Lower production costs will allow us to increase the profits.

Funds for construction and brewery fittings come from own capital in the amount of almost 2 million zł, EU subsidy and commercial investment loan. We obtained the EU subsidy in 2018 and the contract with Bank Gospodarstwa Krajowego was signed in 2019. We also signed investment loan contract with ING bank.

We intend to raise additional funds for implementation of our plans during the incoming crowdfunding campaign.

Funds obtained as a result of crowdfunding will be allocated for financing of a part of construction costs and a part of the costs of buying the beer production facilities.

Construction of the brewery is to start in September 2020 and its activation is scheduled for the middle of 2021.

History

From dreams about brewing own beer to own, innovative brewery!

1977

The first of us starts work in the brewery (Piotr Stachecki, brewer).

1996

Tomasz Brycki, one of the founders, starts work in the brewery.

1999

Marek Wziątek, the second founder, starts work in the brewery.

2006

First dreams about own craft brewery.
First “production” at home (beer, wine, tincture).

2016

We set up a business.
The first plans of the brewery and first beer recipes are created.

2017

We start production, the first beer is created under own brand.
Our beer is available in Wielkopolska and Dolny Śląsk, also in the first chain stores – Chata Polska, Duży Ben.
Our beer wins prizes in the Kraft Roku competition (IPA earl grey, oat stout – the bronze one).
We buy a parcel for construction purposes.

2018

The number of beers exceeds 10.
Products appear in next regions and next chain supermarkets – Auchan, Carrefour, Lidl, Stokrotka.

2019

The first long-maturing beer.
We expand our distribution to include next regions and next chain supermarkets – Intermarche, Kaufland.
We have visited almost 30 festivals.
We obtain a subsidy for production facilities.

2020

We obtain a subsidy for beer production appliances 2020 we cooperate with three breweries.
In our brand portfolio we have more than ten beers.
Our team includes 6 people.
We have distributors in all regions of Poland.
We start the construction of the brewery!

Products

Meet our beer

We constantly sell more than ten types of beer, which are supplemented with novelties. This includes both European classic (pilsner, wheat beer), and the new wave beer (e.g. APA, Black IPA). All the beers are manufactured in accordance with the tradition and good brewing practice, from natural ingredients, slowly (e.g. RIS and porter mature more than one year).

All our beer has balanced taste. They are widely accepted and the customers keep buying them.

Innovative products

We devised an innovative technology of producing beer from the seeds of such exceptional plants (superfoods) as spelt, amaranth or quinoa. This technology allows to transfer the outstanding nutritional values of these plants (higher content of minerals, vitamins and amino acids) into beer.

This idea is a response to the trends of authenticity, naturalness and health care, which are especially strong in the Western Europe, the USA and Asia. This opens a chance for us to develop export. The first commercial contacts in this scope were initiated in 2018.

The technology is patent-protected. We cooperated with Łódź University of Technology, the leader in the scope of brewing and fermentation technology in devising the technology. This technology was also approved by the Wrocław University of Environmental and Life Sciences.

    Deals with production, finance and brewery construction. Over 20 years in the brewing industry. In the period of 1996 - 2016 he worked in Kompania Piwowarska. He created such brands as Żubr and Dębowe. He managed Tyskie brand, created beer category management strategy. A member of the Polish Craft Brewery Association.

    Sales and Marketing Manager in the brewery. Over 15 years in the brewing industry. He managed brands and projects in big international companies. He worked in Kompania Piwowarska in which he inter alia managed Żubr brand, the biggest beer brand on the market.

    our main brewer

    Over 40 years in the brewing industry. He deals with production, invented all the beer recipes and technologies in our brewery. He worked in Germany and Poland as a brewer and production engineer (Baerenquell, Lech Browary Wielkopolski, Browar Dojlidy).

Market

The market is on our side

Beer is one of the most popular beverages in the world and in Poland. At least once a month beer is drunk by 70% of Polish adults and its average consumption amounts to 100 liters per person and significantly exceeds the European and world’s average (source).

The value of the market in Poland amounts to more than 22 billion zł – consumer prices (source: own calculation of the company on the basis of the market size and average beer price).

Craft beer in Europe is growing significantly faster than the total beer market, and the value of the market is increasing even faster than the consumption.

Consumption of craft beer is increasing with the pace of 40-50% annually. In Poland the production and consumption of the beer from craft breweries is growing, despite the drop in the total beer production.

Financial forecast

We are dynamically growing and we have detailed plans of steady development.

After the brewery starts operating, we are planning further investment in production capacity growth.

Sale and finance

Our company’s revenue is dynamically growing every year. The sale growth is reached mainly through the expansion of the product portfolio and boosting distribution. In 2019 we sold about 800 thousand beer bottles.

Our beer is available in specialist stores and catering sector. We cooperate with the main chain supermarkets: Auchan, Carrefour, Duży Ben, Intermarche, Kaufland, Lidl, Spar, Stokrotka.

We are growing despite difficult conditions

Despite Covid19 epidemic in the first six months of 2020 we generated profit. Temporary closure of restaurants and hotels and prohibition to organize events was a significant problem for many companies, including breweries. Despite this, in this difficult period we generated the increase in sale!

FAQ

What is the amount obtained as a result of share issue - 4 180 000 zł - going to be spent on?

This amount is going to be spent on covering a part of beer production appliance purchase costs (2 300 000 zł) and a part of construction works costs (1 880 000 zł). 45% costs of purchasing the productive facilities is going to be financed from EU subsidy.

Will the shares bought as a result of the issue offered by Browar Za Miastem sp. Z o.o. SKA be registered shares or bearer shares?

They will be registered shares.

How is the company going to communicate with investors? How is it going to inform about its results and plans?

We are going to regularly communicate with Investors. Communication will concern both the results and plans of the Brewery and novelties such as e.g. new types of beer or new distribution contracts. We are planning to communicate the information through e-mail and FB group. We are planning also regular meetings, such as General Meeting of Shareholders.

What will happen if the company fails to raise the expected amount?

Starting our own production in the brewery is our priority. We have own capital, we concluded subsidy and loan contracts. If we raise a lower amount through crowdfunding than it was planned, the missing funds will be contributed by the current Company shareholders. It means that irrespective of the issue results, the construction of the brewery will be completed on time.

Is the company planning to pay dividends?

Yes, we are planning to pay dividends, starting from 2022. We are planning the dividend to amount between 50-100% of the net profit. The investment in increasing the capacity of the brewery is our priority in the next years, which may affect % of the profit allocated for dividend payment*.

*Dividend payment and its amount depends in particular on financial position of the Company, including the generated profit and its financial needs in the subsequent years. The dividend will be paid on condition the Shareholders’ Meeting adopts a resolution on it. The resolution on payment of the profit in the part attributable to the shareholders requires the consent of all the General Partners.

How can the benefits from the investors' packages be collected?

This depends on type of benefits. Such benefits as brand-name products: bottle openers, T-shirts, sweatshirts, sunbeds will be delivered by post. A fourpack with a glass can be collected from our brewery from the 3rd quarter of 2021. The discount on the beer can be granted in our brand-name store from the 3rd quarter of 2021 and during festivals and in the shops of selected commercial partners.

How does the current world situation affect company's situation?

In the most difficult period, namely between March and May of 2020, our sale increased despite serious limitations, including the closure of restaurants, hotels and events. For many years we have been working on diversification of sales and good relation with customers. This brought benefits in the difficult times.
The situation brings also chances, in addition to risks. We are working on new possibilities of sales, which we will update you regularly on.

Since when has Browar Za Miastem been operating and what is the market experience of its owners?

The company was set up in 2016. Both founders have had professional experience in this sector since the 90s. One of us – over 20 years, the other – between 10 and 20 years. Our experience includes strategy, brand management, customer relationship. We have managed the projects whose budget amounted to between 10 and 20 million złoty. Our Brewer has been brewing beer more than 40 years! He worked on the technology of a few breweries.

Who is the author of the construction and technology design of the brewery?

The design of the building (concept, construction design, executive design) is authored by Ind Design Dzierżyński Wytyk Spółka Jawna. The technology design is authored by Piotr Stachecki, our main brewer.

What makes Browar Za Miastem stand out among other craft breweries?

We have long-standing business experience on the beer market. Our beer is widely accepted and has broad distribution. We have built strong relations with our business partners. We know market trends and promptly react to market changes. We have substantial capital and most of the funds for investment. Our company has solid foundations!

How many products are there currently in the brand portfolio?

Currently we have 16 various types of beer. Most of them are constantly available. In the nearest future we are going to introduce many novelties. Some of them have been still maturing since the last year!

When will the brewery construction start?

The brewery construction is going to start in September 2020.

When is it planned to complete the construction and open the brewery?

The brewery is to be opened in the middle of 2021. We are planning to start production in the 3rd quarter of 2021. The date depends on official commissioning and approval of the buildings and production facilities.

How many shares will be taken by investors in the crowdfunding campaign?

Share issue will include 1.900.000 shares (one million nine hundred thousand shares).

What are the most important rights of the owner of Browar Za Miastem sp. Z o.o. SKA shares purchased during the issue?

The most important rights of the shareholder include:

– participation in Company’s Shareholders’ Meeting and the right to vote at Shareholders’ Meeting,
– the right to demand information about the Company,
– the right to participate in Company’s profit, division of which is determined by the Shareholders’ Meeting (dividend),
– the right to freely dispose of the Company’s shares held (e.g. sale),
– the right to participate in Company’s assets’ division in case of its liquidation,
– a claim for issuing the share document.
We are planning to regularly update you on the results and plans of the Brewery, and the annual dividend payment is planned to start from 2022.

How does the innovative technology to be used in the newly opened brewery work and who gave his opinion about it?

The innovative technology concerns the use of raw material with exceptional nutritional values, such as e.g. spelt, oats or amaranth in beer production. The technology devised by us enables us to transfer such features from the raw material to beer, without losing them.

We devised it together with the scientists from Łódź University of Technology. The technology was approved by the scientists from Wrocław University of Environmental and Life Sciences.

Was the innovative technology of beer brewing devised by the company reported to the Patent Office?

The technology was reported to the Patent Office as early as in 2017. Since then it has been protected in Poland and abroad.
